- Position Overview: The Legal Intern will support the General Counsel and the Legal Department in handling a variety of legal matters for the organization and its affiliates. This role provides hands-on experience in legal research, document preparation, corporate governance, and real estate transactions. The ideal candidate will be detail-oriented, organized, and eager to learn about legal processes in a corporate setting. This internship offers a valuable opportunity to gain exposure to corporate law, business acquisitions, and general legal administration.
Essential Duties and Responsibilities: The primary responsibilities of the Legal Intern include, but are not limited to, the following:
General Legal Support: - Conduct legal research and provide fact-checking and analysis on corporate, real estate, and regulatory matters.
- Assist in drafting, reviewing, and organizing legal documents such as bylaws, compliance documentation, and agreements.
- Respond to audit requests, record requests, and inquiries from internal and external parties.
- Collaborate with the Legal Department to address legal issues and deliver solutions under supervision.
Corporate Governance and Administration: - Maintain and update filing systems for corporate and legal records to ensure organization and compliance.
- Assist in tracking and maintaining deadlines related to corporate governance, including calendaring and reminders.
- Support entity management by preparing and overseeing the filing of necessary state, local, and federal forms, such as annual reports, entity formation documents, and name changes.
Transaction Support: - Assist in aspects of business acquisitions, mergers, and real estate transactions, including liaising with external parties and reviewing transaction-related documentation.
- Review and analyze lending requirements, title commitments, environmental reports, and other property-related documentation.
- Help organize closing documents and prepare electronic closing binders for completed transactions.
Other Responsibilities: - Participate in team projects and provide general administrative assistance to the Legal Department.
- Assist in managing communications with internal stakeholders and external partners.
Qualifications: - Current enrollment in an accredited law school or a related pre-law undergraduate program.
- Strong organizational skills with exceptional attention to detail.
- Excellent written and verbal communication skills.
- Ability to handle multiple tasks and deadlines with minimal supervision.
- Proficiency in Microsoft Office Suite (Word, Excel, and Outlook).
- Demonstrated interest in corporate law, real estate law, or business transactions is preferred.
